1. Seller and scope
Paid Welbeo plans are supplied by Welbeo — legal entity pending registration, Legal form to be confirmed, at Registered office to be confirmed before commercial launch. These terms apply to professional customers purchasing Welbeo subscriptions unless a separately signed agreement states otherwise.
2. Plans and prices
Available plans, included features, billing period and current prices are shown on the pricing page or in an accepted order form. Unless stated otherwise, prices are exclusive of taxes that must legally be added. Any applicable VAT is shown before payment or on the invoice.
Annual plans may be displayed as an equivalent monthly price but are billed for the full annual commitment. Promotional or founding-customer offers may have additional stated conditions.
3. Ordering and activation
A paid subscription begins when Welbeo confirms the order or successfully processes the first payment, whichever occurs first. The person placing the order confirms that they are authorized to bind the relevant professional or business customer.
4. Billing and payment
Subscription fees are charged in advance for the selected monthly or annual billing period. Payment processing may be provided by a third-party payment provider. Welbeo does not store full payment-card details. Customers must keep billing and payment information current.
If a payment fails, Welbeo may retry payment and may suspend paid features after reasonable notice while preserving access required to retrieve customer data where reasonably possible.
5. Renewal and cancellation
Unless the checkout or order form states otherwise, paid subscriptions renew automatically for the same billing period until cancelled. A monthly subscription can be cancelled for the end of the current monthly period. An annual subscription can be cancelled for the end of the current annual period.
Cancellation stops the next renewal; it does not normally terminate the already-paid period early. Customers should cancel before the renewal date shown in their account or invoice.
6. Refunds
Fees already charged are generally non-refundable once the paid service period has begun, except where required by mandatory law, where Welbeo has charged in error, or where Welbeo expressly agrees otherwise. Details and request instructions are set out in the Refund Policy.
7. Price and plan changes
Welbeo may change pricing or plan contents prospectively. For an existing paid subscription, a price increase will take effect no earlier than the next renewal after reasonable advance notice, unless the customer expressly agrees to an earlier change.
8. Customer obligations
Customers must use the service lawfully, comply with the Terms of Use, and ensure they have appropriate rights and notices for personal data they place in Welbeo. Where Welbeo processes practitioner client data on the customer's behalf, the Data Processing Agreement applies.
9. Service and support
Plan-specific support and features are those described on the pricing page or applicable order form. Unless a separate service-level agreement is signed, Welbeo does not guarantee a specific uptime percentage or response time.
10. Liability
Nothing in these terms limits liability that cannot lawfully be limited. For professional customers and to the extent permitted by law, Welbeo's aggregate liability arising from a paid subscription is limited to fees paid by the customer for that subscription during the twelve months preceding the event giving rise to the claim. This cap does not apply where mandatory law requires otherwise or to liability expressly excluded from limitation by law.
11. Termination for breach
Either party may terminate for a material breach that remains uncured after reasonable written notice where cure is possible. Welbeo may act immediately where necessary for security, unlawful use, fraud, or to comply with law.
12. Law and disputes
These terms are governed by French law. The parties will first try to resolve disputes in good faith. Any jurisdiction clause applicable to a professional customer will operate only to the extent permitted by applicable law and may be supplemented by an order form or negotiated agreement.
